Terms of Service

These Terms govern self-serve, trial, and free use of dvt. Customers with a signed Cloud Service Agreement are governed by that agreement, not these Terms.

1. Agreement

These Terms are between you ("you") and Data Viz Tool, Inc., a Utah corporation ("dvt", "we"). By creating an account or using the Service you agree to them. If you are agreeing on behalf of an organization, you represent that you have authority to bind it.

Service means the dvt platform — the web application, REST API, and MCP interface.

If you have a signed Cloud Service Agreement with us, that agreement governs and these Terms do not apply to your use under it.

2. Your account

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account and API keys, including actions taken by AI agents you authorize. Tell us promptly at[email protected] if you suspect unauthorized access.

You must be at least 16 years old.

3. Acceptable use

Your use is subject to the Acceptable Use Policy, incorporated here. In particular, the Service is not authorized for protected health information, payment card data, or classified or export-controlled information.

4. Your data

You own your data. You retain all rights to your data, your dashboard specifications, and the content you create. You grant us only the license needed to operate the Service for you.

How the Service handles your data. dvt connects to data sources you control and executes queries on your infrastructure. Only result rows needed to render a visualization return to us, held in memory for that request and then discarded. We do not maintain a copy of your warehouse data.

What we do store durably: your dashboard specifications, account metadata, audit records, envelope-encrypted connection credentials (ciphertext only), rendered exports, any files you upload, and — only if an administrator enables it — warehouse catalog metadata consisting of names, types, and comments, never data values.

A specific caution: images and branding assets you upload are stored in a bucket readable by anyone holding the object's unguessable URL. Do not upload confidential material as dashboard media.

Our Privacy Policy describes our handling of personal data.

5. Trials and free access

We may offer trials and free access. These may be modified, limited, or discontinued at any time.

When a trial ends, uploaded trial CSVs are deleted. Dashboard specifications, image exports, and account metadata are retained as described in ourPrivacy Policy. Export anything you want to keep before then — dashboard specifications export as JSON through the API.

Trials are provided "AS IS" with no warranty and no availability commitment of any kind.

6. Fees

Paid plans are billed as described at purchase. Fees are non-refundable except where these Terms or applicable law require otherwise. You are responsible for applicable taxes. We may change pricing on 30 days' notice, effective at your next renewal.

7. Our intellectual property

We own the Service, the software, and the dvt name and marks. These Terms grant you no rights in them beyond the right to use the Service.

Feedback. If you send us suggestions, you grant us a perpetual, royalty-free license to use them without obligation or attribution.

8. AI agents

The Service is designed to be operated by AI agents through its API and MCP interface. This is an intended use.

You are responsible for what agents do under your credentials. Agent actions are recorded and attributed in the audit log, but attribution is not authorization — an API key acts with whatever authority you gave it. Scope keys narrowly.

If you connect a third-party AI tool to dvt, the data that tool receives leaves our control and is governed by that tool's terms, not ours.

9. Suspension and termination

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access if you materially breach these Terms or theAcceptable Use Policy, or if required by law. Except where a violation poses an immediate threat to the security or availability of the Service or to another customer's data, we will contact you first and give you a reasonable opportunity to remedy.

On termination, you may export your data for 30 days. After that, we delete or de-identify your data on the schedule described in ourPrivacy Policy — note that image exports are retained indefinitely unless you ask us to remove them.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that results obtained through it will be accurate.

No availability commitment applies to use under these Terms. Service level commitments are available only under a signed Cloud Service Agreement.

dvt is a visualization tool. It renders what your queries return. You are responsible for the correctness of your queries, your data, and any decisions you make from them.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT, OR (B) US $100.

These limits do not apply to liability that cannot be limited by law, or to either party's gross negligence or willful misconduct.

12. Indemnity

You will defend and indemnify us against third-party claims arising from your data, your use of the Service in breach of these Terms or theAcceptable Use Policy, or your violation of law or third-party rights.

13. Changes

We may update these Terms. Material changes take effect 30 days after we post them or notify you, whichever is later. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account before the effective date.

14. General

Governing law: Utah, excluding conflict-of-laws rules.Venue: state and federal courts in Salt Lake County, Utah.

Assignment: you may not assign these Terms without our consent; we may assign to a successor in a merger or sale of substantially all assets.

Entire agreement: these Terms, theAcceptable Use Policy, and the Privacy Policy are the entire agreement for use not covered by a signed Cloud Service Agreement.

Severability: if a provision is unenforceable, the rest remains in effect.
